Terms of Service

By creating an account, signing in, or otherwise using ClinNotes ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

ClinNotes turns a clinician-written description of a patient encounter into a structured SOAP note draft and related reference points, using third-party AI models.

ClinNotes is a documentation aid only. It does not practice medicine, diagnose, prescribe, or provide medical advice, and it is not a substitute for clinical judgment. Every output must be reviewed, corrected as needed, and signed off by the treating clinician before it is used or entered into any patient record.

You agree not to enter patient names, medical record numbers, exact dates of birth, contact details, or any other directly identifying information into the Service. Describe encounters in de-identified, clinically descriptive terms only. You are responsible for what you submit, and for confirming that your use of the Service complies with your organization's policies and applicable law (including HIPAA and similar regimes) in your jurisdiction.

You must be a licensed or trainee healthcare professional, or otherwise authorized by your organization, to use the Service for its intended purpose. You're responsible for the accuracy of the information on your account and for keeping your login credentials (including any linked Google account) confidential. Notify us promptly of any unauthorized use of your account.

Generating a note consumes credits from your balance. New accounts receive a starting allotment of free credits. Additional credits can be purchased through our payment processor (Stripe) or redeemed via voucher codes issued by us. Credit purchases are generally non-refundable except where required by law or stated otherwise at the time of purchase; unused free or promotional credits carry no cash value and may expire or be adjusted.

You agree not to:

• Submit identifiable patient data or any other unlawfully obtained data.
• Use outputs as a final, unreviewed clinical record or as medical advice to a patient.
• Attempt to disrupt, reverse engineer, or bypass usage limits or security of the Service.
• Use the Service for any unlawful, harmful, or fraudulent purpose.

We own the Service, including its software, design, and branding. As between you and us, you retain rights to the encounter descriptions you submit; you grant us a limited license to process that input solely to provide the Service to you (see our Privacy Policy for details on how AI providers handle that data).

THE SERVICE AND ITS OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED TEXT MAY CONTAIN ERRORS OR OMISSIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR FOR ANY CLINICAL DECISION MADE IN RELIANCE ON AN UNREVIEWED OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ANY OUTPUT BEFORE CLINICAL USE.

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, suspected misuse, non-payment, or legal or security reasons.

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above; continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which our company is organized, without regard to conflict-of-law principles, unless a different jurisdiction is required by applicable law.
